Rules for using Digithela's visual catalog platform.

These Terms & Conditions (“Terms”) govern your access to and use of Digithela (“Digithela,” “we,” “us,” or “our”), including our website, dashboard, APIs, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Digithela provides tools to create and publish visual catalogs and menu experiences for businesses, including shop profiles, catalog uploads, public-facing menu pages, QR-friendly sharing, and optional AI-assisted features to help extract or enrich catalog items from images or documents. Features may change over time; we may add, modify, or discontinue functionality with reasonable notice where appropriate.
2. Eligibility & accounts
You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity under your account. You must be legally able to enter into a binding agreement in your jurisdiction. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Your content & license
You retain ownership of content you upload or submit (including images, text, prices, and shop information) (“Your Content”). To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process Your Content solely to provide, secure, and improve the Service for you and your customers (for example, serving public catalog pages and running AI analysis you initiate).
You represent that you have the rights necessary to submit Your Content and that it does not violate applicable law or third-party rights. We may remove content or suspend access where we reasonably believe there is a legal or policy violation.
Payment information you display (e.g. UPI QR)
You may upload images such as a UPI or other payment QR code so visitors to your public catalog can pay you directly. Digithela only hosts and displays that image as part of your shop page; we do not process, settle, or guarantee those peer-to-peer or bank-app payments. You are solely responsible for the accuracy of payment details, compliance with payment and advertising rules in your jurisdiction, and any disputes between you and your customers.
4. AI-assisted features
Some features use artificial intelligence to suggest or extract catalog information. AI outputs may be incomplete or inaccurate. You are solely responsible for reviewing, editing, and publishing accurate information to your customers (including prices, allergens, and compliance with trade and advertising rules). AI features may be limited to subscribed plans as described in our Pricing page and in-app billing screens.
5. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes, or to distribute malware or spam.
- Attempt to gain unauthorized access to our systems, other users' accounts, or data.
- Scrape, overload, or interfere with the Service except through documented interfaces we provide.
- Misrepresent your identity, your business, or the origin of Your Content.
6. Fees, subscriptions & taxes
Paid plans (for example, Pro) are offered at the prices and currency shown at checkout (currently INR for eligible subscriptions). Payments are processed by our payment partner (e.g. Razorpay). By subscribing, you authorize recurring charges according to the plan you select until you cancel in accordance with the options we provide. Taxes may apply based on your location and applicable law.
You may cancel renewal as described in the billing area of your dashboard; unless stated otherwise at purchase, cancellation typically stops future renewals while allowing use of paid features until the end of the current billing period. Refunds, if any, are handled according to our policies and payment provider rules at the time of purchase.
We may also offer complimentary or promotional access to paid-tier features (for example, Pro), including through redemption codes you enter in the Service. Such access is granted at our discretion, may be subject to limits or eligibility rules we publish, and may be changed or ended where permitted by law and these Terms.
7. Third-party services
The Service relies on infrastructure and providers (for example, hosting, authentication, storage, payment processing, and AI APIs). Their terms and privacy practices may also apply. We are not responsible for third-party services outside our reasonable control.
8. Our intellectual property
The Digithela name, logo, software, and materials we provide (excluding Your Content) are owned by us or our licensors. Except for the limited rights needed to use the Service, these Terms do not grant you any ownership rights in our intellectual property.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITHELA AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) WHERE NO FEES APPLY, ONE HUNDRED INDIAN RUPEES (INR 100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT ALLOWED BY LAW.
11. Indemnity
You will defend and indemnify Digithela against claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
12. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if we are required to by law, or if we discontinue the Service with reasonable notice where feasible. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnity) will survive termination.
13. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires a different process.
14. Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer protections in your jurisdiction, courts in India shall have exclusive jurisdiction over disputes arising from these Terms or the Service.
